Our Terms of Service are listed below.
Elitescapes LLC — Terms of Service
Effective September 17, 2026
These Terms apply to all landscaping, design, installation, and maintenance services provided by Elitescapes LLC. Please read them before accepting a proposal.
1. Agreement
These Terms of Service govern all work performed by Elitescapes LLC ("Elitescapes", "we", "us", "our") for its clients ("you", "your"). By accepting a proposal, making a payment, or permitting us to begin work, you agree to these Terms.
1.1 Documents that make up your agreement. Your agreement consists of, in descending order of precedence: (a) any signed change order, most recent first; (b) your accepted proposal, contract, or service agreement; (c) any addendum attached to that proposal, including the snow and ice management addendum where applicable; and (d) these Terms. Where a proposal and these Terms conflict, the proposal controls for that engagement only.
1.2 Who is bound. If you accept a proposal on behalf of another person or an entity — a property owner, a homeowners association, a tenant, or a management company — you represent that you are authorized to do so and that you and that party are jointly responsible for payment.
1.3 Authority over the property. You represent that you own the property, or that you have the owner's written permission for the work described in your proposal. You are responsible for obtaining any consent required from a landlord, co-owner, or adjoining owner.
1.4 Updates to these Terms. We may revise these Terms. The current version is posted at elitescapes.co. Revisions take effect for work proposed after the date they are posted, and do not change the price or scope of a contract already accepted. Material changes affecting recurring maintenance clients will be sent by email at least 30 days before they take effect.
2. Accepting work and deposits
2.1 How to accept a proposal. You may accept a proposal by clicking Accept in the client portal, by replying to the proposal email with your acceptance, or by paying the deposit stated in the proposal. Any one of these forms a binding contract between you and Elitescapes LLC.
2.2 Deposits. A deposit is required before work begins on any installation, design, or one-time project, in the amount stated in your proposal. Payment of the deposit confirms the contract and binds both parties. We will not schedule or begin work until the deposit clears.
2.3 Paying ahead for a season. If you prefer not to keep a payment method on file, we require payment in advance for the full season or the full one-time job. Clients who pay the full season in advance receive a 10% discount. Contact sales@elitescapes.co for a seasonal quote.
2.4 Automatic renewal of maintenance service. Recurring maintenance contracts renew automatically for the following season unless you cancel. At renewal we may increase the price by up to 10%. An increase above 10% requires your acceptance before service continues. We will email you at least 30 days before the renewal date with the renewal date and the new price. Prices do not change during the term of an accepted contract; increases apply only at renewal.
2.5 How to stop a renewal. Email sales@elitescapes.co before the next season begins. Cancellation of a recurring maintenance contract is also governed by Section 7.4 and carries no fee.
3. Communications
3.1 Service email. We send a reminder before each scheduled visit and a summary after service. No reply is needed. If something is wrong, email sales@elitescapes.co with a description and photos. To reduce or stop these messages, email the same address.
3.2 Marketing email. When you give us your email address — by phone, text, email, or through a form on elitescapes.co — we add it to our mailing list and may send you seasonal offers, service reminders, and company news. Every message includes an unsubscribe link, and you can unsubscribe at any time. Unsubscribing does not stop transactional messages about work you have booked.
3.3 Text messages. When you give us a mobile number, you consent to receive service-related texts from us and our crews — arrival windows, access questions, scheduling changes, and payment reminders. Message and data rates may apply. Reply STOP to any message to opt out of texts; reply HELP for assistance. Opting out of texts may delay scheduling notices, which will then be sent by email.
3.4 Written notice. Where these Terms require written notice from you, email to sales@elitescapes.co is sufficient and is treated as received on the next business day. Notice to you is sufficient if sent to the email address on your account. Formal legal notice to us may also be mailed to the address in Section 16.
3.5 Field instructions are not notice. Instructions given to a crew member or crew leader on site do not change your contract, cancel a visit, or satisfy any notice requirement under these Terms. Section 5.2 governs changes to scope.
4. Access, utilities, and site conditions
4.1 Access. You agree to provide safe access to the work area on each scheduled date, including unlocked gates, restrained pets, cleared pathways, and reasonable parking for service vehicles. Tell us about any access limitation at least 48 hours before a scheduled visit.
If our crew cannot access the property safely or as directed, we will suspend that visit and reschedule once access is confirmed. Because the crew, the vehicle, and the route slot were committed to your property, the visit is charged as follows.
Recurring maintenance. The visit is invoiced as if performed, at your contract rate. We will return on your next scheduled visit. If the lockout means the work has grown by the time we return — overgrowth beyond 6 inches, accumulated leaves or debris — the additional charges in Section 6.1 apply to that visit.
Installation, design, and one-time work. Standby time applies under Section 4.6, with a minimum of two hours per crew member scheduled for that day. If the lockout costs the crew more than half a day, we may bill the full scheduled day, and rescheduling is subject to crew availability, which can move a completion date by more than the two days described in Section 7.1.
No charge applies where you notify us of the access problem at least 24 hours before the scheduled visit, or where the obstruction is caused by us or our subcontractors.
4.2 Water and electricity. Some services require a working spigot or exterior outlet. If these are unavailable and we were not told in advance, we may bring our own supply and bill the cost, reschedule under Section 4.1, or reduce the scope to what the site allows.
4.3 Underground utilities. Before excavation we will request public utility locates through Miss Utility (811) as required by law. Public locates do not cover private lines. You are responsible for identifying and marking, or telling us about, all private underground installations before work begins — irrigation lines, invisible pet fencing, landscape lighting and low-voltage wiring, gas lines running to a grill or fire feature, private drains, septic components, and geothermal loops. We are not responsible for damage to private lines you did not disclose, and repair of such damage is billable.
4.4 Property lines. You are responsible for the location of your property boundaries. If you direct us where to place a wall, fence, bed, walkway, or planting, you warrant that the location is within your property or that you have the adjoining owner's permission. We are not responsible for work installed in a location you identified that later proves to encroach, and removal or relocation of that work is billable. If a boundary is uncertain, we recommend a survey before installation.
4.5 Permits, HOA, and historic review. Unless your proposal states otherwise in writing, you are responsible for obtaining any homeowners association approval, condominium board approval, historic district approval, and public space permit required for the work. This includes review by the DC Historic Preservation Review Board and public space permits for work in the public parking strip. We will provide drawings and specifications to support your application. If work is delayed, stopped, or must be removed because an approval was not obtained, the cost is yours.
4.6 Standby time. If our crew arrives on schedule and cannot work because the site is not ready — a locked gate, a client not available where availability was required, another trade occupying the work area, materials not yet delivered by you — we will wait up to 15 minutes at no charge. Beyond 15 minutes, standby time bills at $110 per crew member per hour, prorated in quarter-hour increments. After one hour we may leave and treat the visit as an access failure under Section 4.1.
4.7 Other crews on site. If we must work around other contractors or people on the property, tell us at least 24 hours before the visit so we can plan or reschedule. Undisclosed congestion on site is a standby event under Section 4.6.
5. Scope of work and changes
5.1 Scope. We will perform the work described in your proposal. Work not described there is not included, however reasonable it may seem in context.
5.2 Change orders. Any change to scope requires a written change order. The process is: you email the request to sales@elitescapes.co; we price it; we send a change order; you approve it in writing and pay any additional deposit; we schedule the work. Work outside the original scope will not begin before that process is complete. A change order may adjust both price and completion date.
Verbal instructions to field personnel do not authorize additional work. If a crew member performs work outside the contract at your direction and without a change order, that work is unwarranted and billable at our then-current rates.
5.3 Unforeseen subsurface conditions. Excavation frequently reveals conditions that were not visible during the site assessment: rock and ledge, buried construction debris, old foundations, footings, slabs, uncompacted fill, abandoned utilities, tree stumps, and root systems. These are not included in any proposal unless the proposal names them.
On encountering such a condition we will stop that portion of the work, document it with photographs, and send you a change order with options and pricing. Standby and demobilization time during the pause bills under Section 4.6. We offer stump and root removal and can quote it separately.
5.4 Site condition on arrival. Our pricing assumes the site is in substantially the condition observed at assessment or shown in the photographs you provided. If the site has changed materially — accumulated waste, stored materials, new structures, significant overgrowth — we may suspend work until the site is restored or a revised price is agreed.
5.5 Hazardous conditions. We will stop work in any area presenting a significant hazard to health or safety, including stinging insects, aggressive or unrestrained animals, animal waste in quantity, and suspected hazardous materials encountered during excavation. Eliminating these hazards is not our responsibility and we will not bear the cost of removing hazardous materials. Tell us when the hazard is cleared and we will provide a revised schedule.
5.6 Subcontractors. We may use subcontractors at our discretion for any part of your work. We remain responsible for quality and for fulfilling the contract. Subcontractors we engage are licensed and insured as their trade requires.
6. Services
6.1 Lawn maintenance.
-
Mowing. We mow to a 3-inch height weekly, with clippings left unbagged, which is best for lawn health. Height changes and bagging are available on request.
-
String trimming. Performed where a mower cannot reach, including along walls, beds, and pathways.
-
Edging. A clean separation between turf and beds, walkways, and patios.
-
Bagging. Available at additional cost. We use compostable paper bags and either haul them away or leave them for bulk collection where you direct.
-
Hauling. Clippings and debris are disposed of at a licensed composting facility.
-
Overgrowth. When grass exceeds 6 inches, an additional charge of up to 100% of the combined mowing and bagging price applies. The crew will photograph the condition before mowing. On severely overgrown turf we may require a separate overgrowth clearing service before routine maintenance resumes.
6.2 Seasonal and routine maintenance. Shrub trimming, hand weeding, plant care, turf care, leaf removal, bed maintenance, mulch installation, trash and debris removal, and pet waste removal. Where your contract includes shrub trimming without further detail, shrubs are pruned three times per year. Hand weeding is manual, without machinery or chemicals, and is billed by time required.
6.3 Design. Landscape design is sold as its own proposal and is paid in advance of design work. A design proposal is separate from any installation contract, and accepting a design does not obligate either party to proceed with installation. Section 13.2 governs ownership of the drawings.
6.4 Installation. Hardscape and softscape installation, including concrete and masonry, patios and walkways, retaining walls, pergolas and structures, drainage, lighting, planting, and sod. Installation work is governed by Sections 4, 5, 9, and 12 in addition to the general terms.
6.5 Snow and ice management. Snow and ice services are sold under a separate seasonal contract with its own addendum covering trigger depths, service windows, priority sequencing, and liability. Where that addendum and these Terms conflict, the addendum controls for snow and ice work.
6.6 One-time services. Any service above may be purchased as a one-time job. One-time work is governed by the cancellation terms in Section 7.5 rather than Section 7.4.
7. Scheduling and cancellation
7.1 Schedule adjustments. We hold to our schedule while prioritizing turf health and crew safety. Weather and other conditions outside our control may move a service date by up to two days in either direction without notice. For a change beyond two days we will notify you in advance.
7.2 Service frequency. You may switch between weekly and bi-weekly maintenance at any point in the season. We operate in defined areas on defined days of the week. A request for service in your area on a day we do not operate there will be quoted as a one-time job; if you accept it, we will skip the routine visit nearest that date and resume the regular schedule afterward.
7.3 Seasons. A season is the period during which a service is offered. Lawn maintenance runs April 1 through November 25. Your proposal states the season for any other recurring service. Section 2.4 governs renewal into the following season.
7.4 Cancelling recurring maintenance. Recurring maintenance is not a fixed-term commitment. You may pause, reduce, or cancel it at any time, with no fee, by emailing sales@elitescapes.co at least one full business day before your next scheduled visit. We will remove that visit and all future visits from the schedule, and you will not be invoiced for service after proper notice. You remain responsible for service already performed.
7.5 Cancelling a design, installation, or one-time project. Before work begins, you may cancel and will owe: the cost of materials ordered or fabricated specifically for your project, which are non-refundable; labor and design hours already performed, billed at $110 per person per hour; and forfeiture of your deposit, capped at 20% of the contract price. These amounts are a reasonable estimate of our actual loss, are not a penalty, and in total will not exceed the contract price.
Once work has begun, cancellation requires our written agreement on a cancellation price, which will reflect work performed, materials committed, and the cost of demobilizing.
7.6 Suspension or termination by us. We may suspend or end service for any lawful reason, including an overdue balance, unsafe conditions, abusive conduct toward crew, or a change in our service area. We will notify you and invoice any outstanding balance. Where we terminate without cause and you owe nothing, any unearned deposit is refunded.
8. Pricing and payment
8.1 Adjusting recurring prices. Recurring maintenance is priced on the average time a visit takes. If the landscape changes or the time required proves materially different, we may adjust the price for future visits. We will notify you by email and phone. A price increase takes effect only once you accept it; service is suspended in the interim. A decrease takes effect immediately.
8.2 When payment is due. Payment for completed service is due on completion. Deposits are due before work begins, as stated in your proposal. Final payment on installation work is due at substantial completion under Section 9. These payment terms govern regardless of any conflicting terms proposed by you or any third party, including a management company's standard payment terms.
8.3 Accepted payment methods. The methods we accept for your work are listed on your proposal and on each invoice, and they may differ by client and by type of job. Your invoice is the controlling statement of how you may pay. We do not accept debit cards.
8.4 Card processing and discounts for paying another way. Our listed prices already include a payment administration fee of 2.9% plus $0.30 per transaction, which covers the cost of credit card processing. Because the fee is built into the price rather than added at checkout, paying by credit card costs you the listed amount with no separate processing line on your invoice.
Where a payment method costs us less to process, we pass the savings back to you as a discount:
Payment method
What you pay
Credit card
The listed price, which already includes the administration fee
ACH bank transfer
The administration fee is reduced to 0.8% of the invoice, capped at $5
Cash or check
The administration fee is removed in full, bringing you to the base price
This is a discount program, not a surcharge. Nothing is ever added to the listed price; paying by ACH, cash, or check lowers your invoice below it.
8.5 Payment method on file. Clients receiving recurring maintenance must keep a valid credit card or ACH authorization on file. By accepting these Terms you authorize us to charge that method for each completed service, and for any balance that becomes past due under Section 8.6. Charges vary with the service performed and will match your invoice. This authorization continues until service ends under Section 7.4 or you revoke it in writing; revoking it does not excuse payment, and we may require prepayment instead.
8.6 Late payment. If payment is not received when due:
Day
What happens
6
Courtesy reminder. No charge.
15
$50 late fee. Service suspended.
30
Interest begins at 2% per month, simple, on the unpaid balance.
45
Account may be referred to collections. You are responsible for reasonable collection costs and attorney's fees permitted by law.
8.7 Reinstating suspended service. A $50 reactivation fee applies. A suspended recurring slot may be filled by another client, and we cannot guarantee the same day or crew on return.
8.8 Payment difficulty. Contact us before the due date. Approved payment plans are put in writing and may include scheduled installments, extended terms with a 5% service fee, or reduced service frequency.
8.9 Checks and returned payments. Checks are payable to Elitescapes LLC and mailed to the address in Section 16. A returned check incurs a $50 fee plus any bank charges we incur. After two returned checks, we will require payment by credit card, ACH, or cash for the remainder of your engagement.
8.10 Mechanic's lien. Nothing in these Terms waives our right to file and enforce a mechanic's lien for unpaid work. Where a jurisdiction requires a pre-lien notice or a notice of intent, we will give it as the law requires. Any waiver of lien rights must be in a separate signed document, and no waiver is given in advance of payment.
9. Completing an installation
9.1 Substantial completion. An installation is substantially complete when the work is usable for its intended purpose and remaining items are minor and do not prevent that use. A patio you can walk on and furnish is substantially complete even if a joint needs re-sanding. We will notify you when we consider the work substantially complete.
9.2 Walkthrough and punch list. Within three business days of that notice, we will walk the site with you if you wish. Any remaining items go on a written punch list agreed at the walkthrough. If you do not respond within three business days, or use the completed work, the work is accepted as substantially complete and the punch list is whatever we have identified.
9.3 Final payment. Final payment is due at substantial completion, not at punch list completion. Punch list items do not justify withholding payment. We will complete agreed punch list items within 15 business days, weather and material availability permitting.
9.4 No retainage. You may not hold back any portion of the contract price as security for punch list work or for any other reason, unless your proposal expressly provides for retainage.
9.5 Items discovered later. Defects found after acceptance are handled under the warranty terms in Section 12, not by withholding payment.
10. Raising a problem
10.1 One deadline. Any concern about the quality of a service or the amount of an invoice must reach sales@elitescapes.co in writing within seven days of the service date. Include the property address, the service date, the invoice number, a description of the issue, photographs where possible, and what resolution you are seeking. After seven days the service is treated as accepted as performed.
Property damage is different: report it within seven days of discovering it, with photographs, under Section 10.5.
10.2 How we handle it. We acknowledge a complaint within two business days, investigate within seven business days, inspect the site where useful, and give you a written determination within 14 business days of receiving it.
10.3 What we can do. Where a complaint is well founded, we will at our election return to correct the work, credit your account, or refund part of the payment. Correcting the work is our preferred remedy and we will usually offer it first.
10.4 Paying while a dispute is open. Filing a complaint does not suspend your obligation to pay the undisputed portion of an invoice by its due date. You may withhold the specific amount genuinely in dispute while we investigate. If the complaint is resolved in your favor, we will credit or refund accordingly.
10.5 Property damage. A damage claim must be made in writing within seven days of discovery and include photographs of the damage. We may inspect the damage before any repair, obtain estimates, and elect to repair it ourselves or through our contractors. You agree to give us reasonable opportunity to inspect before repairs begin, except where an emergency makes that impractical.
10.6 Service records. We document services with dated photographs taken before and after work. These photographs are our primary record of what was performed and will be shared with you on request.
10.7 Weather. Delay or rescheduling caused by weather is not a breach and is not grounds for a claim.
10.8 Card and bank disputes. We ask that you contact us before disputing a charge with your card issuer or bank so we can resolve it directly, which is almost always faster. Nothing in these Terms limits your rights under your card network's rules or applicable law, and nothing here waives them. If you initiate a chargeback for a service we can document as performed, we may suspend or end service and pursue the balance, and you remain responsible for amounts actually owed.
10.9 Small claims first. Either of us may bring any claim within the jurisdictional limit of a small claims or general district court in the county or district where the property is located, and neither of us is required to arbitrate such a claim. This is the intended route for ordinary billing and service disputes.
10.10 Arbitration of larger claims. Any claim exceeding those limits that we cannot resolve between us will be settled by binding arbitration before a single arbitrator administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the jurisdiction where the property is located. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own attorney's fees unless a statute or contract provides otherwise.
You and Elitescapes each waive the right to a jury trial and to participate in a class or collective action for claims subject to arbitration. You may reject this arbitration provision by emailing sales@elitescapes.co within 30 days of first accepting these Terms; rejecting it does not affect any other part of your agreement.
10.11 Time limit. Any claim must be brought within one year of the event giving rise to it, except where a longer period is required by law.
10.12 Consumer protections preserved. Nothing in this Section or anywhere in these Terms waives, or purports to waive, any right or protection a client has under the consumer protection or home improvement laws of the jurisdiction where the property is located. Any provision that would do so is void to that extent, and the rest of these Terms remain in effect.
11. Insurance and liability
11.1 Insurance. Elitescapes LLC carries commercial general liability insurance and workers' compensation coverage at commercially reasonable limits. A certificate of insurance is available on request, and we can name you as an additional insured for your property where your proposal or your association requires it.
11.2 Limit of liability. Our total liability for any claim arising out of your service, whatever the theory, will not exceed the amount you paid for the specific service that gave rise to the claim. We are not liable for indirect, consequential, incidental, or special damages, lost profits, or business interruption.
11.3 Pre-existing conditions. Landscaping and excavation often reveal conditions that were present before we arrived — poor drainage, failing irrigation, soil compaction, deteriorated masonry, root damage, prior substandard work. We are not liable for pre-existing conditions, and correcting them is additional work under Section 5.2.
11.4 Drainage and grading. Water movement on a property depends on soil, slope, rainfall, adjacent properties, municipal systems, and structures we did not build. Unless your proposal includes a drainage design prepared or sealed by a licensed engineer, grading, regrading, drainage, and related work is performed on a best-efforts basis and carries no guarantee that a water problem will be resolved, reduced, or kept from recurring or relocating. Where a water problem is structural or involves a foundation, we recommend an engineer before committing to a landscape solution.
11.5 Plant survival. Plants are living material affected by weather, watering, soil, pests, disease, and animals. Except as provided in Section 12.3, we do not guarantee that any plant will survive or thrive.
11.6 Your indemnity. You agree to indemnify and hold harmless Elitescapes LLC, its members, employees, and subcontractors from any claim, loss, damage, or expense, including reasonable attorney's fees, arising from: your breach of these Terms; private underground installations you failed to disclose under Section 4.3; a boundary location you identified under Section 4.4; an approval or permit you were responsible for under Section 4.5; work you directed outside the contract without a change order under Section 5.2; or a third party's claim arising from your instruction to us.
11.7 Our indemnity. We will indemnify and hold you harmless from claims for bodily injury or property damage to the extent caused by our negligence or that of our employees or subcontractors in performing the work.
11.8 Limits of these provisions. Neither indemnity extends to a party's own gross negligence or willful misconduct, and nothing in this Section limits liability that cannot be limited by law.
12. Materials, chemicals, and warranties
12.1 Our approach to products. We prefer organic and OMRI-listed products and use them wherever they are appropriate and available for the condition being treated. We do not represent that every product we use is organic or certified. Where a conventional product is the right tool, we will use it, and we will tell you on request what was applied to your property.
12.2 Chemical disclosures. By accepting these Terms you acknowledge that organic products may act more slowly and less predictably than conventional ones, that weather affects the performance of any treatment, and that you are responsible for telling us in advance about any plant, chemical, or pollen sensitivity affecting anyone at the property. We are not responsible for a reaction to a product used where the sensitivity was not disclosed.
12.3 Plant warranty. Plants we install are warranted only where your proposal expressly includes a plant warranty, and only while a watering contract is in force under which Elitescapes is responsible for watering the installed material for the period stated in that contract. Without a watering contract in force, plants carry no warranty.
Where the warranty applies, a covered plant will be replaced once, subject to: no mechanical damage, animal damage, or neglect; no damage from work performed by others; prompt notice from you when a plant begins to decline; and availability of comparable replacement stock in season. The warranty covers the plant and its installation, not redesign or surrounding work.
12.4 Hardscape and structures. Installed hardscape and structures carry a one-year workmanship warranty covering defects in our installation. Manufacturer warranties on pavers, stone, lumber, fixtures, and kits pass through to you and we will assist with a claim. The workmanship warranty excludes settlement or movement caused by soil conditions, water, tree roots, vehicle loads the installation was not designed for, work by others, and ordinary wear or efflorescence.
12.5 Making a warranty claim. Email sales@elitescapes.co with photographs and the approximate date the problem appeared. We will inspect before determining coverage.
12.6 Materials stored on site. Materials delivered to your property are in your custody from delivery until installed. You are responsible for their security and for loss or damage from theft, vandalism, weather, or third parties, and replacement of lost or damaged materials is billable. If you would rather we stage materials off site and deliver them daily, we will quote that.
13. Photographs, designs, and signage
13.1 Photographs. You authorize us to photograph your property before, during, and after service for quality control, documentation, and marketing, and to use those photographs in our portfolio, website, social media, and promotional materials without compensation. We will not publish your name or exact address without your separate permission. To opt out of marketing use, email sales@elitescapes.co.
13.2 Designs. Landscape designs, drawings, plant schedules, and specifications we prepare remain our property, and we retain copyright in them. On full payment of the design fee, you receive a perpetual license to use the design for the property it was prepared for, including having it built by a contractor of your choosing. Until the design fee is paid in full, no license is granted.
13.3 Yard signs. You grant us the right to place a branded sign on the property: for the duration of a maintenance contract, and for up to 30 days after completion of an installation or one-time job. Signs will be placed where they do not interfere with use or safety. To opt out, email sales@elitescapes.co and we will remove the sign.
14. Personnel and confidentiality
14.1 Non-solicitation. During your contract and for 12 months after it ends, you agree not to hire, engage, or contract with — directly or through another company — any employee or subcontractor who performed work at your property, for landscaping, hardscaping, or related services, without our written consent.
We invest substantially in recruiting, training, licensing, and equipping our crews, and that investment is lost when a client hires a crew member away. Because the resulting loss is real but difficult to calculate, you agree that $5,000 per person is a reasonable estimate of our damages, payable as liquidated damages rather than as a penalty. This does not prevent us from seeking injunctive relief.
This provision does not apply to a person who responds to a general public job posting that was not directed at our personnel, or to a person whose engagement with us ended more than 12 months earlier.
14.2 Confidentiality. Each of us may learn non-public information about the other during the work — pricing, methods, security arrangements, household details, business information. Each agrees to keep that information confidential and to use it only for purposes of the work, for three years after the contract ends. This does not cover information that is public, already known, or required to be disclosed by law. Your right to discuss our pricing or the quality of our work publicly is not restricted by this Section, and nothing here limits your ability to leave a review.
15. General provisions
15.1 Force majeure. Neither party is in default for a delay caused by extreme weather, natural disaster, epidemic, government restriction, labor shortage, supply chain disruption, or other cause beyond reasonable control. We will notify you of the delay, give an updated timeline when we can, and resume as soon as practical. You are not charged for services not performed, and completion dates extend without penalty.
15.2 Governing law. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws principles. Where the property is located outside Virginia, the consumer protection and home improvement laws of that jurisdiction apply to the extent they are mandatory, and Section 10.12 controls.
15.3 Venue. Subject to Sections 10.9 and 10.10, the courts serving the jurisdiction where the property is located are the venue for any action.
15.4 Assignment. You may not assign your contract without our written consent. We may assign our contracts in connection with a sale, merger, or reorganization of the business, and will notify you if we do.
15.5 Electronic records and signatures. You consent to transact electronically. Acceptance through the client portal, by email reply, or by electronic signature has the same effect as a handwritten signature, and electronic records satisfy any requirement that a document be in writing.
15.6 Severability. If a provision is found invalid or unenforceable, it is modified to the minimum extent needed to make it enforceable while preserving its intent, or severed if it cannot be. The rest remains in effect.
15.7 Survival. These survive the end of your contract: payment obligations for work performed, warranties and warranty limitations, intellectual property rights, non-solicitation, confidentiality, indemnification, limitation of liability, and dispute resolution.
15.8 No waiver. Our failure to enforce a provision on one occasion does not waive it. Accepting a late payment does not waive a late fee on the next one.
15.9 Entire agreement. These Terms, together with the documents listed in Section 1.1, are the entire agreement between us on their subject matter and supersede prior agreements and communications.
